Business succession planning is integral to running a successful business. This course will provide an overview of the processes that are needed to transfer a business interest.

Objectives

Determine what a business is worth and how being an owner with control vs. an owner without control impacts value. Identify transition options, including planning for the outright sale of the business, structuring internal transfers to critical employees and analyzing the pros and cons of transfers to family members. Recognize tax issues associated with different transition options. Identify how to start the planning process early and tools to make the process more effective, including developing or modifying buy/sell agreements and other business operating agreements.

James Andersen, AICPA In-House Training

James A. Andersen, CPA/ABV, ASA Jim Andersen is the founding partner of Andersen & Company LLP, a firm of financial consultants and certified public accountants based in Santa Rosa, California. For the past 18 years, Mr. Andersen has specialized in business valuations, mergers and acquisitions, and various litigation support services. During this period, he has been involved in over 600 business valuation and litigation assignments and has testified as an expert witness in various counties throughout California. Mr. Andersen’s business valuation experience has included assignments for merger and acquisition transactions, buy/sell agreements, dissenting shareholder actions, marital dissolutions, and estate and gift tax. Mr. Andersen is past chairman of the Business Valuation Committee for the California Society of Certified Public Accountants and is a board member of the Litigation Steering Committee. He is an accredited senior appraiser with the American Society of Appraisers and is an instructor for both the American Institute of Certified Public Accountants and the California Society of CPAs on various business valuation topics. He also serves on the faculty for the Texas Center for the Judiciary. Mr. Andersen’s recent accomplishments include co-authoring and teaching a course on mergers and acquisitions for the California Society of CPAs, and he is in the process of publishing a new course and book for the California Education Foundation entitled Business Valuation and Succession Planning-A Practical Approach to Value Enhancement and Business Transfer Issues, to be released and taught in the fall of 2003.
